4. Client Responsibilities & Intellectual Property Provided

To complete design work effectively, you agree to:

  • Provide accurate, high-resolution product photography, logos, brand guidelines, and product specifications.

  • Guarantee that all text, images, trademarks, and design elements provided to Vert Collective are owned by you or that you have full legal permission to use them. You agree to hold Vert Collective harmless against any legal claims stemming from assets supplied by you.

5. Intellectual Property & Final Deliverable Ownership

  • Final Deliverable Ownership: Upon receipt of full payment for completed work, Vert Collective transfers full commercial rights and ownership of the final customized image deliverables (e.g., final export files) to the client.

  • Portfolio Rights: Unless explicitly agreed upon in a signed Non-Disclosure Agreement (NDA) or custom contract, Vert Collective retains the non-exclusive right to display completed design work, before/after graphics, and visual deliverables in our agency portfolio, case studies, website, and promotional materials.

6. Payments, Cancellations, and Refunds

  • Payment Terms: Services must be paid for according to the terms stated on the invoice or proposal (e.g., upfront payment or deposit prior to work commencing).

  • Refund Policy: Due to the custom, labor-intensive nature of creative design work, payments and deposits are non-refundable once design work or competitive research has commenced.

  • Revisions: Revisions are included based on the terms specified in your package or agreement. Revisions outside the agreed-upon scope or after project approval may incur additional design fees.

7. Performance & Amazon Compliance Disclaimer

  • No Sales Guarantees: While our designs are strategic and conversion-focused, Vert Collective makes no guarantees regarding specific conversion rates, Click-Through Rates (CTR), Amazon sales, search engine rankings, or financial outcomes resulting from our work. Sales performance depends on multiple external factors beyond our control, including product quality, pricing, inventory levels, competitor actions, and advertising budget.

  • Amazon Policy Compliance: Vert Collective strives to create graphics that comply with standard Amazon Style Guides and Image Requirements at the time of delivery. However, Amazon frequently updates its Terms of Service and guidelines. The client remains ultimately responsible for reviewing and approving all visual content uploaded to their Seller Central or Vendor Central account.

8. Limitation of Liability

In no event shall Vert Collective, its owners, employees, or contractors be liable for any direct, indirect, incidental, punitive, special, or consequential damages resulting from your use of our services, changes to your Amazon account standing, listing suspensions, loss of sales, or reliance on graphics provided. Our maximum aggregate liability shall not exceed the total amount paid by you to Vert Collective for the specific project in question.

9. Modifications to Services and Prices

Prices for our services are subject to change without notice. We reserve the right to modify or discontinue any aspect of our service or website content at any time without liability.
